Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and MarketBlueprint Strategy Inc. ("MarketBlueprint," "we," "us," or "our"), a corporation registered in Saskatchewan, Canada, with its principal place of business at 222 3rd Avenue South, Saskatoon, SK S7K 1M5.

By accessing or using our website at marketblueprint.one (the "Site") or engaging our marketing services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or our services. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of services

MarketBlueprint provides go-to-market marketing blueprint design, GTM specification development, channel draft planning, plan elevation and launch sequence design, blueprint stamp governance, plan registry setup, and related marketing consulting services (collectively, the "Services"). Service scope, deliverables, timelines, and fees for paid engagements are defined in separate written proposals or service agreements ("Service Agreements") that supplement these Terms.

In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement prevails for that specific engagement. These Terms govern all other use of the Site and general relationship principles.

3. Not a financial or trading service

MarketBlueprint Strategy Inc. provides marketing strategy and campaign planning services only. Despite our name, we do not provide stock market analysis, trading strategies, investment advice, portfolio management, financial planning, or any regulated financial services. Our "market blueprint" deliverables are marketing documents — GTM specifications, blueprint sheets, channel drafts, and plan registries — designed for campaign teams launching products or marketing initiatives.

If you accessed the Site seeking financial or trading services, these Terms and our Services do not apply to that intended use. We make no representations regarding financial outcomes, investment returns, or market performance of any kind.

4. Website use

You may use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable federal, provincial, or local laws or regulations.
  • Attempt to gain unauthorised access to the Site, our servers, or connected systems.
  • Transmit viruses, malware, or other harmful code through the Site or contact form.
  • Scrape, crawl, or harvest data from the Site using automated means without our prior written consent.
  • Submit false, misleading, or fraudulent information through the contact form.
  • Interfere with or disrupt the Site's operation or other users' access.
  • Impersonate MarketBlueprint, our employees, or other persons or entities.

We reserve the right to suspend or terminate access to the Site for conduct that violates these Terms or that we reasonably believe poses a security or legal risk.

5. Intellectual property

All content on the Site — including text, graphics, logos, images, design elements, the MarketBlueprint name, market blueprint framework terminology, and software — is owned by MarketBlueprint or our licensors and protected by Canadian and international copyright, trademark, and intellectual property laws.

You may view, download, and print Site content for personal, non-commercial reference only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit Site content without our prior written consent.

For client engagements, intellectual property ownership of deliverables — including market blueprints, GTM specifications, blueprint sheets, channel drafts, and plan registries — is defined in the applicable Service Agreement. Unless otherwise specified, clients receive a licence to use deliverables for their stated campaign purposes upon full payment.

6. Client engagements

Engagement of MarketBlueprint Services requires a signed Service Agreement or written acceptance of a proposal. Key terms typically include:

  • Scope of work defining channel drafts, plan elevation phases, specification grid sections, and deliverables.
  • Project timeline with campaign footing checkpoints and blueprint stamp schedule.
  • Client responsibilities including timely feedback, asset provision, and stakeholder availability.
  • Revision rounds and change request procedures.
  • Confidentiality obligations for both parties.

Blueprint workshops offered as discovery sessions may be provided with or without fee as stated at the time of booking. Attendance does not obligate either party to proceed with a full engagement.

7. Fees and payment

Service fees are quoted in Canadian dollars unless otherwise stated. Invoices are due within the period specified in the Service Agreement, typically net fifteen or net thirty days. Late payments may incur interest at 1.5% per month or the maximum rate permitted by Saskatchewan law, whichever is lower.

All fees are exclusive of applicable taxes including GST (Registration: 823456789 RT0001). Client is responsible for all taxes associated with Services except taxes based on MarketBlueprint's net income.

We may suspend Services for accounts more than thirty days overdue until payment is received in full.

8. Marketing disclaimer

Marketing results depend on industry, budget, creative execution, and market conditions. We do not guarantee specific revenue, conversion rates, lead volumes, or ROI. Case examples are illustrative and anonymised. MarketBlueprint provides go-to-market marketing blueprints — not stock market, trading, or financial investment advice.

MarketBlueprint provides professional marketing strategy, market blueprint design, and campaign planning services. We do not guarantee any specific business outcome, financial return, ranking position, media placement, press coverage, lead volume, conversion rate, return on ad spend, or revenue result. Past performance described in case examples on the Site or in proposals is not indicative of future results.

Campaign performance depends on factors outside our control including market conditions, competitive activity, product-market fit, pricing, seasonality, platform algorithm changes, media costs, client budget allocation, and the quality of client-provided assets and approvals. Any projections or estimates provided during proposals or blueprint workshops are illustrative planning tools, not promises or warranties of outcome.

Case studies and portfolio examples on the Site are anonymised and presented for illustrative purposes only. Identifying details, metrics, and outcomes may be composite or adjusted to protect client confidentiality. They should not be interpreted as typical results or as guarantees of similar outcomes for your campaign.

9. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the Site.

Services are performed with professional skill and care consistent with industry standards for marketing agencies. Except as expressly stated in a signed Service Agreement, we make no additional warranties regarding Service outcomes.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARKETBLUEPRINT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO MARKETBLUEPRINT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MarketBlueprint and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Site in violation of these Terms; (b) your violation of any law or third-party right; (c) content or materials you provide to us for use in Services; or (d) your breach of a Service Agreement.

12. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect personal information under PIPEDA and CASL. By using the Site, you consent to data practices described in those policies. Contact form consent (consent_pipeda_casl) is never pre-checked and must be actively confirmed before submission.

13. Third-party links

The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy practices, or availability of third-party sites. Inclusion of a link does not imply endorsement. You access third-party sites at your own risk.

14. Termination

We may terminate or suspend your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of Site access does not affect the survival of provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and governing law sections.

Service Agreement termination terms are defined in the applicable agreement, typically including notice periods, payment for work completed, and deliverable handoff procedures.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Saskatchewan, located in Saskatoon.

Before initiating legal proceedings, parties agree to attempt good-faith resolution through direct negotiation for a period of thirty days. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.

16. Changes to terms

We may modify these Terms at any time by posting updated Terms on the Site with a revised effective date. Material changes will be communicated where practicable. Your continued use of the Site after changes constitutes acceptance of the modified Terms. For active Service Agreements, changes to these Terms do not modify signed agreement terms unless both parties agree in writing.
